NH will be renamed Minor Hotels Europe & Americas

NH Hotel Group, controlled since 2018 by the Thai group Minor Hotels, will take to its next shareholders meeting, which will be held on April 19, the proposal to change its social denomination for that of Minor Hotels Europe & Americas and adapt, therefore, their social statutes to this change. This appears in the agenda of the meeting that the hotel company sent this Wednesday to the National Stock Market Commission (CNMV).

Minor took control of NH in 2018 after launching a public share offering (OPA) to buy the then Spanish chain at a price of 6.30 euros, after deducting the payment of a dividend of 0.10 euros. The offer effectively extended to the acquisition of 53.75% of the share capital. Today, The Thai group controls 95.8% of NH’s capital. With the proposed brand, it is intended that the company be recognized with a brand that is most recognized in the world.

The hotel chain led by Ramón Aragonés will propose to the board the re-election of the executive director Rufino Pérez Fernández and the advisors proprietary directors Stephen Andrew Chojnacki, William Ellwood Heinecke and Emmanuel Jude Dillipraj Rajakarier, all of them for the statutory period of three years.

In addition, the company will put to a vote the ratification of the appointment by co-option of the directors Miriam González-Amézqueta, Tomás López Fernebrand and María Segimón de Manzanos with the qualification of independents.

Within the framework of the meeting, which will be held on the first and only call, NH has on the agenda approve the management of the board of directors during the 2023 financial year, as well as the accounts from last year and set, in line with the previous year, the maximum total gross annual amount of the board and its commissions for 2024 at 800,000 euros.

It will also be delegated to the board of directors so that it can increase capitalone or more times and at any time, within a period of five years, and so that it can issue obligations, convertible bonds, shares, as well as warrantsalso in a maximum period of five years.
